How illegal is this ?
a company accessed password protected areas of my web server and possibly caused damage. Now if I tell anyone abt it...they say they gonna sue for defamation.

If you can PROVE the damage was detrimental to you and if you can PROVE it was deliberate hacking then you can take legal action as the proof makes defamation moot!
That is definetly illegal if they hacked secure networks. It's not defamation or anything like that if its the truth. If they caused damage and acceses secure networks they should be punished. Alert the authorities.
You are not defaming their character if the accusations are true. They can sue all they want. Does not mean they will win. You need to be able to prove that this company was the one who accessed this information. You also need to be able to prove damages.
It really depends how the data was "protected", the means by which the company accessed your data & what proof you have that it was in fact that company (or an individual acting on that company's behalf).
The burden of proof lies with you - you'll not have a case w/out some sort of concrete evidence... Some way to prove this company "touched" the protected files...
If you choose to sue the company they'll most likely start a counter suit - that's just how it goes... You need to decide if it really makes sense to go after them (monetarily speaking).
You can't sue for defamation if the other party is telling the truth or genuinely believes it to be the truth.
If they got into it without your permission then that means they hacked into it. You can and should bring charges against them quickly. Please make sure you have proof. Who cares if they get mad.
They can say anything they want about suing you but that doesn't make it any more likely. A defamation claim requires that the published fact be untrue and of such a nature as to bring shame on the person who is defamed.
It's their computers and they can do anything they want with them. If they damage them - then it's their problem to deal with.
