What is the value of the claim?? What are the actual losses?
It would be better for you to be asking this question to your lawyer.
Any claim you have against the corporation is dependent on your claim against the franchise. The ONLY liability the corporation MAY have is for inadequate supervision of the franchise. If the franchise is not liable, the corporation CAN'T be liable. If it is possible to file separate suits, you would have to WIN against the franchise before you had ANY case against the corporation.
